MASTER TERMS OF USE, SERVICE & BUSINESS OPERATIONS

These Master Terms of Use, Service & Business Operations ("Terms") govern access to and use of websites, applications, stores, marketplaces, administrative systems, portals, digital products, professional services, artist services, employment systems, affiliate programs, media platforms, and other services owned or operated by The BHM Conglomerate LLC ("The BHM Conglomerate," "BHM," "Company," "we," "our," or "us") that display, link to, or expressly incorporate these Terms.

These Terms replace prior general Terms of Use applicable to covered BHM Services.

By accessing a covered Service, creating an Account, purchasing a product or service, joining an applicable program, submitting content, accepting an electronic agreement, or otherwise using a BHM Service after being presented with these Terms, you acknowledge that you have read and agree to these Terms and any additional terms applicable to the particular transaction.

SECTOR ONE

SCOPE OF THESE TERMS

These Terms apply to BHM-owned or BHM-operated websites, platforms, applications, systems, stores and services that display or expressly incorporate them.

Covered operations may include, without limitation:

A1BHMWORLDWIDE.com;

BHM-operated websites and web applications;

The BHM News Network and BHM publishing operations;

BHM Marketplace operations;

BHM stores and merchandise platforms;

Sinister Streetwear and other BHM-operated retail properties where these Terms are adopted;

Dymond's and other BHM-operated stores where these Terms are adopted;

artist-service platforms;

BHM Pro Services;

music and audio services;

marketing and advertising services;

promotion and public-relations services;

website-development and administration services;

journalism and professionally written content;

press-release services;

artist-management and booking services;

consulting;

merchandise-management services;

fashion and product-design services;

music-registration assistance;

affiliate programs;

marketplace-placement programs;

advertising-space sales;

showcases;

guest artist performances;

membership programs;

contributor and community programs;

customer portals;

artist portals;

affiliate portals;

employee and contractor portals;

administrative systems;

the BHM Command Center;

BHM internal data and business-management systems;

AI-assisted BHM Services;

audio/video transcription systems;

document-creation systems; and

other services later expressly brought under these Terms.

The above list is illustrative rather than exhaustive.

Independent Businesses and Associated Entities

A person, artist, record label, clothing brand, vendor, company, partner, collaborator, client, managed company, affiliate or other organization does not become legally owned, controlled or operated by The BHM Conglomerate merely because BHM:

promotes that entity;

lists it on a BHM website;

has previously worked with it;

manages certain activities for it;

sells its products;

provides professional services to it;

publishes information about it;

identifies it as a collaborator or associated artist;

operates under a partnership agreement with it; or

links to its website or social-media page.

Where an independently owned entity enters a separate written agreement with BHM, that specific agreement governs the relationship.


SECTOR TWO

DEFINITIONS

For purposes of these Terms:

Account means a user, customer, employee, contractor, administrator, affiliate, seller, artist, member or other authorized account used to access a BHM Service.

BHM Content means material owned or lawfully controlled by BHM, including text, artwork, designs, photographs, logos, software, graphics, video, music, documentation, databases and other content.

BHM Service or Service means any covered BHM website, platform, portal, program, application, store, professional service or business operation.

Client means a person or organization purchasing or requesting a BHM professional service.

Content means text, audio, music, video, photographs, artwork, documents, data, software or other materials.

Marketplace Seller means an outside person or organization authorized to list or sell products or services through an applicable BHM marketplace.

Personal Information means information that identifies or can reasonably be associated with a particular person.

Sensitive Information means information requiring heightened safeguards, including Social Security numbers, government identification numbers, tax information, bank-account information, financial credentials and other information considered sensitive under applicable law.

User, You, or Your means the person or organization accessing or using a BHM Service.


SECTOR THREE

ELIGIBILITY AND AUTHORITY

You must possess legal capacity to enter the applicable transaction.

Where you access a Service for an organization, artist, record label, company, partnership, nonprofit, employer or other entity, you represent that you possess authority to act for that entity.

Financially binding accounts and contracts generally require the account holder to be at least eighteen years old unless an authorized parent, guardian or other legal representative participates.

BHM may require identity, age or authority verification when reasonably necessary for:

employment;

payroll;

financial transactions;

marketplace selling;

contractual services;

rights licensing;

artist representation;

business registration;

tax reporting;

high-value transactions; or

security.


SECTOR FOUR

ELECTRONIC AGREEMENTS AND SIGNATURES

BHM conducts significant portions of its business electronically.

You agree that contracts, notices, approvals, records and signatures may be created and maintained electronically where permitted by law.

Kansas law recognizes that electronic records, electronic contracts and electronic signatures may not be denied legal effect merely because they are electronic.

Actions that may constitute your electronic acceptance include:

clicking "Accept";

clicking "Agree";

checking an acceptance box;

electronically signing a document;

submitting an order after being presented with applicable terms;

completing an authorized contract workflow; or

otherwise intentionally indicating agreement.

BHM should maintain appropriate evidence of material electronic agreements, including the version accepted, date, time and account or transaction associated with acceptance.


SECTOR FIVE

BHM WEBSITES, PLATFORMS AND SERVICES

BHM may add, modify, suspend, replace or discontinue features.

Unless a specific written agreement provides otherwise, access to a particular website or feature does not create a permanent right to continued access.

BHM may perform:

scheduled maintenance;

emergency maintenance;

software upgrades;

security modifications;

database migrations;

platform migrations; and

infrastructure changes.

BHM may also change third-party providers when reasonably necessary for security, performance, functionality or business reasons.


SECTOR SIX

ACCOUNTS, AUTHENTICATION AND SECURITY

Users are responsible for maintaining the confidentiality of their credentials.

You may not:

provide your account to an unauthorized person;

share privileged administrator credentials;

bypass authentication;

impersonate another user;

attempt to obtain another person's password or passcode;

interfere with multifactor authentication;

use compromised credentials; or

circumvent access restrictions.

BHM may use enhanced authentication for sensitive functions.

Administrative or highly privileged operations may require:

stronger authentication;

reauthentication;

multifactor authentication;

role-based permissions;

additional verification;

audit logging; or

elevated security authorization.

BHM may immediately restrict an Account where unauthorized access, fraud or security compromise is reasonably suspected.


SECTOR SEVEN

PRIVACY AND SENSITIVE INFORMATION

BHM's separately published Privacy Policy is incorporated into these Terms.

The Privacy Policy explains BHM's collection, processing, retention, disclosure and protection of Personal Information.

Users who submit Sensitive Information must use the specifically designated secure collection method provided by BHM.

Sensitive information should not be submitted through:

public comments;

ordinary social-media messages;

public community posts;

unsecured email where another approved channel is provided;

ordinary AI chat interfaces;

public upload forms; or

any general-purpose form not specifically designated for sensitive records.

Financial Credentials

BHM may use third-party payment processors and financial institutions to reduce the amount of raw payment-card information directly handled by BHM.

Card verification values such as CVV/CVC/CID must not be retained after transaction authorization. PCI DSS treats this information as sensitive authentication data and prohibits post-authorization storage even where encrypted.

Payroll and Tax Information

Social Security numbers, tax forms, banking information, direct-deposit information and identity documents used for employment or payroll purposes should be restricted to systems and personnel with a legitimate operational need.


SECTOR EIGHT

INTELLECTUAL PROPERTY AND BHM CONTENT

Unless otherwise stated, BHM or its licensors own or control applicable intellectual-property rights in BHM Content.

This may include:

BHM trademarks;

logos;

original articles;

original photographs;

website designs;

software;

databases;

graphics;

videos;

product designs;

original music;

artwork;

branding systems;

marketing materials; and

proprietary business materials.

You may view BHM Content for normal personal or authorized business use.

Unless specifically authorized, you may not:

reproduce BHM Content commercially;

sell it;

sublicense it;

falsely claim authorship;

remove ownership notices;

create counterfeit BHM products;

copy substantial portions of BHM databases;

use BHM branding to impersonate the Company; or

imply sponsorship or endorsement that does not exist.

Third-Party Content

BHM does not claim ownership merely because a third-party artist, client, contributor or business appears on a BHM website.

Copyright and other rights remain with their lawful owners unless transferred through a valid agreement.


SECTOR NINE

PUBLIC PROFILES, COLLABORATORS AND ASSOCIATED ARTISTS

BHM may publish informational profiles concerning:

collaborators;

associated artists;

former collaborators;

producers;

brands;

public figures;

business partners;

clients;

interview subjects; and

entities relevant to BHM history or media coverage.

A profile does not, by itself, mean that:

BHM currently manages the person;

BHM owns the person's music;

the person is employed by BHM;

the person endorses BHM;

BHM owns the person's company;

BHM is authorized to negotiate on the person's behalf; or

an active contractual relationship exists.

Any representation, management, booking or licensing authority must arise from an actual authorized relationship.


SECTOR TEN

USER CONTENT AND COMMUNITY PARTICIPATION

Certain BHM Services may permit users to submit:

comments;

reviews;

posts;

articles;

photographs;

music;

profiles;

community discussions;

product information;

opinions; or

other Content.

BHM may moderate such Content.

BHM makes no promise that all submissions will be published.

BHM may:

review submissions;

reject submissions;

edit formatting;

restrict distribution;

apply content warnings;

disable comments;

remove submissions; or

suspend accounts.

You retain ownership of your User Content except where another written agreement expressly provides otherwise.

By posting Content to a BHM public feature, you grant BHM a nonexclusive, worldwide, royalty-free license reasonably necessary to:

host the Content;

reproduce it within the Service;

display it;

distribute it through the intended feature;

create technical copies;

resize or reformat it;

promote the post or Service in which it appears; and

maintain reasonable archival copies.

This license does not automatically transfer copyright ownership to BHM.

You represent that you possess the rights necessary to submit the Content.


SECTOR ELEVEN

MEDIA, MUSIC, VIDEO AND CREATIVE SUBMISSIONS

BHM may accept music, audio, artwork, written materials, photographs, videos, press materials and other creative Content for:

promotion;

editorial consideration;

artist services;

music reviews;

interviews;

playlists;

BHM Audio Shop placement;

marketplace placement;

advertising campaigns;

contests;

showcases;

publications;

professional services; or

other approved purposes.

Submitting Content does not transfer ownership unless a separate agreement expressly provides for a transfer.

For ordinary promotional submissions, the submitter grants BHM a nonexclusive license reasonably necessary to evaluate, host, display and promote the submitted material for the purpose for which it was submitted.

You represent that:

you own the submitted material or possess adequate permission;

the material does not knowingly infringe third-party rights;

you possess authority to authorize the requested use;

credits and ownership information supplied by you are materially accurate; and

any persons whose private information is included have been handled consistently with applicable law.

BHM may decline any submission.

BHM does not guarantee publication, review, promotion, playlist inclusion, press coverage or commercial success.


SECTOR TWELVE

UNSOLICITED IDEAS AND CONFIDENTIAL MATERIAL

Do not submit confidential:

business ideas;

inventions;

television concepts;

product concepts;

marketing ideas;

unreleased strategies;

proprietary formulas; or

trade secrets

unless BHM has agreed in writing to receive the material confidentially.

Unsolicited submissions are not automatically subject to a nondisclosure obligation.

Because BHM develops large amounts of creative, media, marketing and business material, BHM may independently develop ideas that resemble ideas submitted by others.

This provision does not authorize BHM to copy protected expression or misuse information subject to an actual confidentiality agreement.


SECTOR THIRTEEN

PROFESSIONAL AND BHM PRO SERVICES

BHM may offer services including:

artist services;

consulting;

marketing;

promotion;

advertising;

branding;

public relations;

journalism;

professionally written articles;

press releases;

website development;

webpage administration;

social-media marketing;

email marketing;

advertisement creation;

fashion design;

merchandise management;

media-placement assistance;

interviews;

booking;

music services;

marketplace placement;

business assistance; and

other professional services.

The scope of a specific project should be determined by the applicable:

product page;

order;

proposal;

service package;

statement of work;

invoice;

written communication; or

signed contract.

Where a signed contract conflicts with these general Terms concerning the same service, the signed contract controls.

No Guaranteed Business Outcome

Unless specifically guaranteed in a signed agreement, BHM does not guarantee:

sales;

streams;

followers;

views;

chart positions;

media coverage;

press placement;

search-engine rankings;

customer conversions;

funding;

revenue;

awards;

business registration approval;

viral exposure; or

any particular third-party decision.

BHM may guarantee specific deliverables, but not external results outside BHM's control.


SECTOR FOURTEEN

ADVERTISING, PROMOTION, PR AND MARKETING SERVICES

Advertisers and marketing clients are responsible for the truthfulness and legality of claims they provide.

BHM may reject material involving:

deceptive representations;

unlawful products;

counterfeit products;

copyright infringement;

fraudulent investment claims;

impersonation;

malware;

unsubstantiated claims;

misleading endorsements; or

other material creating significant legal or reputational risk.

BHM may identify paid material using labels such as:

Advertisement;

Sponsored;

Sponsored Content;

Paid Partnership;

Promotional Content; or

similar language.

BHM's acceptance of advertising payment does not require BHM's independent journalism or editorial staff to publish favorable editorial coverage.

Advertising and editorial operations may remain separate.


SECTOR FIFTEEN

EMAIL MARKETING AND CONTACT LISTS

BHM may maintain marketing, customer, artist, partner, business and professional contact lists.

Commercial email sent by BHM will be administered consistent with applicable law.

The CAN-SPAM Act applies broadly to commercial email, including business-to-business commercial messages, and requires mechanisms allowing recipients to stop future marketing messages.

Marketing recipients may unsubscribe using an available unsubscribe mechanism.

Transactional or relationship communications may continue when reasonably necessary for:

purchases;

contracts;

account security;

payroll;

marketplace administration;

customer service;

employment;

legal notices; or

requested services.

Client-Supplied Contact Lists

A client purchasing BHM email-marketing services represents that the client has lawfully obtained and may lawfully use any supplied contact list.

Clients may not provide BHM with:

unlawfully scraped lists;

stolen contact databases;

purchased lists whose use violates applicable law;

fabricated recipients; or

lists obtained through unauthorized account access.

BHM may reject a campaign creating material spam or compliance risk.


SECTOR SIXTEEN

BUSINESS REGISTRATION AND ADMINISTRATIVE ASSISTANCE

BHM may assist clients with administrative business-formation or registration tasks.

Services may include:

business-name research;

organizational information gathering;

filing preparation;

document organization;

government form assistance;

registration workflows;

EIN-related administrative assistance where legally permissible;

business-record organization; and

general startup administration.

Unless a separate agreement expressly states otherwise:

BHM is not acting as the client's attorney or CPA.

Administrative assistance does not create:

an attorney-client relationship;

a CPA-client relationship; or

a guarantee of governmental approval.

Clients are responsible for providing truthful, complete and accurate information.

BHM may refuse to submit information it reasonably believes to be false, fraudulent or unlawful.

Government requirements change. BHM may update its filing procedures when agencies alter their requirements.

Clients should consult licensed legal or tax professionals where individualized legal or tax advice is required.


SECTOR SEVENTEEN

MUSIC REGISTRATION AND RIGHTS-ADMINISTRATION ASSISTANCE

BHM may assist artists and rights holders with administrative submission of information to:

performing-rights organizations;

distributors;

publishing administrators;

copyright-related systems;

metadata systems;

royalty services; or

other music-industry registries.

Clients remain responsible for supplying accurate:

songwriter splits;

ownership percentages;

legal names;

artist names;

publisher information;

ISRC/UPC information;

master ownership information; and

other rights data.

BHM does not become an owner of a composition or master merely because BHM assists with registration.

Ownership changes require an actual agreement or legal instrument.

BHM does not guarantee acceptance of a registration by a third-party organization.


SECTOR EIGHTEEN

ARTIST MANAGEMENT, BOOKING AND REPRESENTATION

BHM only acts as an artist's manager, booking representative, agent or authorized negotiator where BHM actually possesses authority to do so.

The presence of an artist on:

A1BHMWORLDWIDE.com;

a BHM profile;

a collaborator page;

a playlist;

a review;

a BHM article;

a marketplace listing; or

promotional material

does not by itself establish management authority.

Artists subject to an actual management, booking or services agreement remain governed by that separate agreement.

BHM may collect administrative, management, booking or service fees where authorized by an applicable agreement.


SECTOR NINETEEN

GUEST ARTIST PERFORMANCES AND FEATURES

BHM may facilitate guest performances, verses, hooks, appearances or other musical collaborations.

19.1 Artist Acceptance

A listed opportunity is not necessarily a guarantee that an artist will accept every project.

The requested artist may review:

the song;

lyrics;

proposed collaborators;

subject matter;

commercial use;

artwork;

release plans; and

other relevant project information.

An artist may decline a project before final acceptance.

19.2 Customized Performance

Where purchased, a guest performance may include an original recorded performance prepared for the client's project according to the applicable package.

Deliverables may include WAV, MP3, stems or other files described in the applicable order.

19.3 Final Song Approval

Where required by the artist or package, the Client must provide BHM or the artist with the intended final commercial version of the song before public release.

The Client may not obtain approval for one version and then materially alter the approved recording in a manner that:

changes the artist's context;

creates a false endorsement;

associates the artist with undisclosed inflammatory material;

materially changes the lyrics surrounding the appearance;

introduces unlawful content; or

materially misrepresents the collaboration.

19.4 Withdrawal Prior to Final Release Authorization

Before final written release approval, an artist may withdraw from the collaboration where reasonably necessary because of:

creative disagreement;

material project changes;

undisclosed collaborators;

reputational concerns;

legal concerns;

breach by the Client; or

other significant circumstances.

Where the artist withdraws without Client breach and the purchased performance cannot lawfully be used, amounts paid specifically for that unusable artist performance will ordinarily be refunded, subject to any separate nonrefundable third-party costs disclosed before purchase.

19.5 After Final Approval

Once an artist has given final written authorization for the agreed commercial version and all applicable payment and licensing conditions have been satisfied, the approved release should not be arbitrarily revoked except where justified by:

fraud;

material breach;

infringement;

illegality;

nonpayment;

unauthorized modification; or

another contractual basis.

19.6 Publishing and Master Rights

Purchase of a guest performance does not automatically determine:

songwriting percentages;

publishing splits;

master ownership;

royalty participation;

neighboring rights;

producer points; or

mechanical royalties.

Those matters should be documented separately where applicable.


SECTOR TWENTY

WORK-FOR-HIRE AND COMMISSIONED CREATIVE WORK

BHM may commission:

articles;

music;

beats;

graphics;

photography;

video;

designs;

software;

advertisements;

websites;

product designs; and

other creative work.

A project is not automatically a statutory "work made for hire" merely because it is paid work.

Under U.S. copyright law, work-made-for-hire status depends upon the circumstances required by the Copyright Act, including employment circumstances or qualifying commissioned works covered by an appropriate written agreement.

Accordingly, BHM project contracts may use:

a valid work-made-for-hire provision where legally applicable; and

a backup copyright assignment where appropriate.

The applicable project contract governs ownership.


SECTOR TWENTY-ONE

EMPLOYEES, PAYROLL AND HUMAN RESOURCES

BHM may operate payroll and human-resource systems for authorized BHM employees.

Such systems may process:

employee identification;

wage information;

timekeeping;

tax withholding;

Forms W-4;

Forms W-2;

direct-deposit information;

employment records;

required employment-authorization records;

deductions;

reimbursements;

benefits information where applicable; and

payroll history.

Employees authorize BHM and authorized payroll or banking providers to process payroll transactions consistent with applicable law and the employee's instructions.

No provision in these general website Terms waives:

minimum wage rights;

overtime rights;

lawful payroll rights;

anti-discrimination rights;

workers' compensation rights;

unemployment rights; or

other employment protections that cannot legally be waived.

BHM may correct payroll errors.

Unauthorized deductions will not be taken merely because a website term purports to permit them.

Employment-tax records may be subject to federal retention requirements, including IRS rules generally requiring specified employment-tax records to be retained for at least four years.


SECTOR TWENTY-TWO

INDEPENDENT CONTRACTORS, FREELANCERS AND VENDORS

BHM may engage:

freelance writers;

designers;

producers;

engineers;

artists;

marketers;

consultants;

vendors;

developers;

photographers; and

other contractors.

A contract label alone does not determine whether a worker is legally an employee or independent contractor.

Federal authorities analyze the actual working relationship and degree of independence rather than relying solely upon what the parties call the worker.

Accordingly, BHM intends to classify workers according to applicable law.

Contractors may be required to provide:

Form W-9;

taxpayer information;

invoices;

payment information;

contracts; and

project documentation.

A legitimate independent contractor is generally responsible for the contractor's own business and tax obligations except where law requires BHM to withhold or report otherwise.


SECTOR TWENTY-THREE

AFFILIATE AND REFERRAL PROGRAMS

BHM may operate affiliate programs allowing approved participants to earn commissions from qualifying transactions.

Specific program terms may establish:

eligible products;

commission percentages;

referral attribution;

cookie windows;

prohibited promotion methods;

payout thresholds;

returns;

reversals;

chargebacks;

commission adjustments; and

qualification requirements.

Current General BHM Affiliate Structure

Where the standard BHM tier program is expressly designated as applicable, the current general framework may include:

Silver — 20%

Gold — 30% after $3,000 in qualifying cumulative performance

Platinum — 40% after $7,500

Elite — 50% after $15,000

Unless a specific program states otherwise, commissions are calculated according to the definition of net profit or qualifying commissionable revenue stated in that program.

Partnered products may use a separate profit-sharing arrangement, including designated shared-profit structures.

The specific program terms shown when a transaction is attributed control over a conflicting general description.

Affiliate Advertising Compliance

Affiliates must clearly disclose material financial relationships where required.

FTC guidance requires affiliate marketers to disclose commission relationships clearly and conspicuously so consumers understand the financial connection.

Affiliates may not:

fabricate endorsements;

post fake reviews;

make false claims;

impersonate BHM;

send unlawful spam;

bid on prohibited trademarks where program rules prohibit it;

manipulate referral tracking;

purchase through fraudulent accounts;

generate fake transactions; or

conceal material relationships.

BHM may reverse commissions derived from fraud, refunds or invalid transactions.


SECTOR TWENTY-FOUR

MARKETPLACE SELLERS AND MARKETPLACE PLACEMENT

BHM may allow outside businesses, artists or brands to sell or display products through a BHM Marketplace.

Marketplace participation may require a separate Seller Agreement.

Sellers are responsible for:

lawful ownership of products;

accurate descriptions;

authenticity;

pricing information;

intellectual-property rights;

product safety;

tax information;

fulfillment obligations assigned to them;

customer-service obligations assigned to them;

legally required disclosures; and

truthful advertising.

The following are prohibited:

counterfeit goods;

stolen goods;

fraudulent listings;

intentionally misleading descriptions;

infringing products;

illegal goods;

malicious software; and

products BHM determines create unacceptable legal or safety risks.

BHM may suspend or remove a listing while investigating.

INFORM Consumers Act

If a BHM Marketplace becomes subject to the federal INFORM Consumers Act, qualifying high-volume third-party sellers may be required to provide identity, banking, tax and contact information for verification.

The law also requires specified marketplace disclosures for certain sellers meeting applicable revenue thresholds.

BHM may suspend a seller who fails to provide legally required verification information.


SECTOR TWENTY-FIVE

PRODUCT PURCHASES AND E-COMMERCE

BHM may sell:

apparel;

footwear;

accessories;

music;

merchandise;

artwork;

digital products;

physical media;

branded goods;

customized products; and

other products.

Prices displayed at checkout control unless an obvious technical or pricing error has occurred.

BHM may:

correct errors;

cancel fraudulent transactions;

refuse prohibited orders;

limit quantities;

discontinue products; or

modify products prospectively.

Applicable taxes may be added.

Product photographs may vary slightly from final manufactured products because of:

displays;

manufacturing;

printing;

materials;

sizing;

production batches; or

other ordinary production variations.

Nothing authorizes materially misleading product descriptions.


SECTOR TWENTY-SIX

SHIPPING, FULFILLMENT AND PRINT-ON-DEMAND PRODUCTS

BHM may use independent fulfillment providers, including print-on-demand providers.

Shipping estimates are estimates unless explicitly guaranteed.

For covered Internet merchandise orders, federal FTC rules generally require a seller to have a reasonable basis for its stated shipping time and, where no time is stated, generally contemplate shipment within thirty days; qualifying delays can require consent to delay or a refund.

If a fulfillment problem occurs, BHM may:

replace the product;

reship the order;

obtain consent to a delay;

issue an appropriate refund; or

provide another remedy permitted by law.

Custom, personalized or made-to-order goods may have limited change-of-mind return rights where properly disclosed and legally permitted.

Defective, damaged, materially incorrect and legally protected claims remain subject to applicable law and the applicable Refund Policy.


SECTOR TWENTY-SEVEN

DIGITAL PRODUCTS, MUSIC DOWNLOADS AND LICENSES

Purchasing a digital product does not automatically transfer copyright.

Unless expressly stated otherwise, purchasers receive a limited license for the use described in the listing.

A digital music purchase ordinarily does not authorize the purchaser to:

resell the recording;

commercially redistribute copies;

falsely claim ownership;

upload the recording as their own;

issue unauthorized NFTs;

synchronize it into advertising or film;

sample it commercially; or

sublicense it.

Separate licenses may be purchased where offered.


SECTOR TWENTY-EIGHT

PAYMENTS, COMMISSIONS AND PAYOUTS

BHM may accept or issue transactions through third-party providers such as authorized banks, card processors and payment platforms.

Users authorize the applicable processor to complete transactions they intentionally initiate.

BHM may maintain internal records concerning:

gross sales;

commissions;

fees;

refunds;

chargebacks;

payouts;

transaction dates;

payment status;

affiliate earnings;

artist earnings;

seller earnings; and

other accounting information.

Standard Payout Framework

Where expressly applicable to a BHM program, the current standard framework may include:

monthly payout processing;

a minimum payout balance of $30;

balances below $30 carrying forward;

deduction of applicable payment-processing charges where disclosed;

statements identifying the original underlying transaction date; and

applicable BHM administrative or Conglomerate fees as stated in the relevant program.

Where BHM's standard 6% Conglomerate Fee is expressly designated as applicable, that fee will be identified in the applicable agreement, program or payout terms.

Specific written program terms control over this general section.

BHM may delay a payout reasonably necessary to investigate:

fraud;

refunds;

chargebacks;

disputed ownership;

account compromise;

missing tax documentation;

court orders;

sanctions issues;

payment-provider holds; or

other legitimate compliance concerns.


SECTOR TWENTY-NINE

FUND TRANSFERS AND FINANCIAL SERVICES

BHM may calculate amounts owed to:

employees;

contractors;

affiliates;

artists;

sellers;

partners;

vendors; or

other approved payees.

Where possible, actual movement of funds should be executed through an authorized bank, payroll processor, payment processor or other appropriate financial provider.

BHM may maintain the underlying ledger, authorization and payout instructions without itself holding or transmitting third-party funds as an independent financial-transfer service.

FinCEN's money-transmitter rules can apply where a business accepts funds from one person and transmits them to another, although the analysis is fact-specific and certain transfers integral to another bona fide transaction may be treated differently.

Accordingly:

BHM does not represent itself as a bank or licensed money transmitter merely by operating ordinary sales, payroll, affiliate or marketplace payment functions.

BHM will not intentionally launch a separate regulated money-transmission business without appropriate regulatory analysis.


SECTOR THIRTY

REFUNDS, CANCELLATIONS AND CHARGEBACKS

Refund eligibility depends upon the applicable product or service.

A specific:

checkout page;

service contract;

Refund Policy;

invoice;

statement of work; or

program agreement

may establish more detailed rules.

Professional Services

Where substantial work has already begun, completed work may be nonrefundable to the extent disclosed and permitted by law.

BHM may refund:

unperformed portions;

accidental duplicate payments;

canceled services;

unavailable products; or

other amounts where appropriate.

Chargebacks

Customers retain lawful rights to dispute unauthorized or improper charges.

However, knowingly making a materially false statement to obtain a chargeback for a properly delivered product or service may constitute fraud or breach of contract.

BHM may provide transaction evidence to the payment provider and may suspend an account involved in documented chargeback abuse.


SECTOR THIRTY-ONE

ARTIFICIAL INTELLIGENCE AND AUTOMATED TOOLS

BHM may provide AI-assisted systems for:

writing;

analytics;

business assistance;

transcription;

document creation;

marketing;

music-related functions;

image or video assistance;

research;

workflow automation;

customer service; and

administrative assistance.

AI-generated information may be inaccurate.

Users must independently review important outputs.

AI output should not be treated as a substitute for appropriately licensed:

legal advice;

medical advice;

accounting advice;

investment advice;

tax advice; or

other professional advice where licensure is legally required.

Intellectual Property

BHM does not guarantee that every AI-generated output:

qualifies for copyright protection;

is unique;

is noninfringing;

is suitable for trademark registration; or

may be commercially exploited without additional rights review.

Sensitive Data

Users must not place sensitive payroll, bank, identity or tax data into a general-purpose AI interface unless BHM specifically designates that system as approved for that information.


SECTOR THIRTY-TWO

AUDIO/VIDEO UPLOADS, TRANSCRIPTION AND RECORDING CONSENT

BHM may allow users to upload audio or video for transcription, editing, processing or document creation.

Users represent that they possess lawful authority to upload and process the recording.

Recording-consent laws vary by jurisdiction.

The User—not BHM—is responsible for ensuring that any recording was lawfully created and that transcription or distribution is authorized.

Users may not upload:

illegally intercepted communications;

unlawfully obtained private recordings;

stolen media;

material subject to a court sealing order without authority;

recordings used for illegal harassment; or

material the User has no lawful right to process.

Transcriptions may contain errors and should be reviewed before legal, medical, journalistic or business reliance.


SECTOR THIRTY-THREE

JOURNALISM, EDITORIAL CONTENT AND BHM NEWS OPERATIONS

BHM operates journalism, commentary, review, podcast and editorial properties.

Content may include:

news;

music criticism;

investigative reporting;

commentary;

opinion;

entertainment reporting;

artist profiles;

podcasts;

interviews;

business education;

technology coverage; and

community submissions.

Opinion content represents the views of the identified author or commentator.

Publication of allegations does not mean BHM asserts an allegation as established fact unless the article states and supports that conclusion.

BHM may correct or update published material where appropriate.

Advertising relationships do not guarantee favorable editorial treatment.

Sponsored content should be identified where appropriate.


SECTOR THIRTY-FOUR

RATINGS, REVIEWS AND TESTIMONIALS

Reviews and testimonials must reflect genuine experience where represented as such.

Users may not:

submit fabricated reviews;

purchase false reviews;

impersonate customers;

suppress legitimate criticism through unlawful means;

provide fake testimonials; or

make deceptive claims.

The FTC's Endorsement Guides require truthful endorsements and disclosure of material relationships where the relationship could affect how consumers evaluate the endorsement.

BHM may identify incentivized or sponsored reviews where legally required.


SECTOR THIRTY-FIVE

THIRD-PARTY SERVICES AND INTEGRATIONS

BHM may integrate services supplied by third parties, including:

payment processors;

financial institutions;

hosting providers;

Printful or other fulfillment systems;

CRM systems;

email providers;

analytics providers;

advertising platforms;

social networks;

AI providers;

cloud-storage providers;

database providers;

tax systems;

payroll providers; and

other software.

Third-party services may have independent terms and privacy policies.

BHM is not responsible for a third party's independent conduct outside BHM's reasonable control.

The fact that BHM integrates a third-party service does not necessarily constitute an endorsement of all products or conduct of that provider.


SECTOR THIRTY-SIX

COPYRIGHT COMPLAINTS AND DMCA PROCEDURES

BHM respects intellectual-property rights.

Copyright complaints may be submitted to:

the copyrighted work;

the allegedly infringing material;

its location;

contact information for the complaining party;

the basis for claiming ownership or authority; and

sufficient information for BHM to investigate.

BHM may remove or restrict disputed material while evaluating a complaint.

For online platforms hosting user-generated content, certain DMCA safe-harbor protections require a service provider to register a designated agent with the U.S. Copyright Office and publish the agent's information.

Accordingly, BHM should not publicly claim completed DMCA safe-harbor registration until its designated-agent registration has actually been completed and remains current.


SECTOR THIRTY-SEVEN

PROHIBITED CONDUCT

Users may not use BHM Services to:

commit fraud;

steal;

impersonate others;

distribute malware;

access accounts without authorization;

bypass authentication;

manipulate payment systems;

submit stolen payment information;

sell counterfeit products;

traffic stolen property;

knowingly infringe intellectual property;

fabricate business records;

falsify tax records;

falsify identity;

manipulate affiliate tracking;

create fraudulent sales;

scrape protected information contrary to law or authorization;

spam users unlawfully;

harass users;

publish another person's highly sensitive private information maliciously;

interfere with website operation;

exploit security vulnerabilities;

conduct denial-of-service attacks;

circumvent usage limits; or

assist others in prohibited conduct.

Security researchers who discover a vulnerability should report it privately rather than exploit it.


SECTOR THIRTY-EIGHT

FRAUD, ABUSE AND SECURITY INVESTIGATIONS

BHM may investigate suspected:

fraud;

account compromise;

unauthorized transactions;

identity misuse;

fake affiliate activity;

marketplace fraud;

stolen payment credentials;

security attacks;

intellectual-property violations; or

material breaches of these Terms.

BHM may preserve information reasonably relevant to an investigation.

BHM may cooperate with payment processors, financial institutions, insurers, attorneys, regulators or law enforcement where legally appropriate.

Nothing requires BHM to disclose private investigative methods to a suspected wrongdoer.


SECTOR THIRTY-NINE

SUSPENSION AND TERMINATION

BHM may restrict or terminate access for material violations involving:

fraud;

abuse;

security threats;

nonpayment;

counterfeit sales;

unlawful conduct;

intellectual-property violations;

repeated marketplace violations;

false identity information;

material contractual breach; or

threats to BHM systems or users.

Where reasonable, BHM may provide an opportunity to correct a curable violation.

Immediate action may be taken where necessary to protect:

users;

funds;

infrastructure;

confidential information;

intellectual property; or

legal compliance.

Termination does not erase payment, confidentiality, intellectual-property, indemnity or other obligations intended to survive termination.

DISCLAIMERS

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GENERAL BHM ONLINE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS EXCEPT WHERE A SPECIFIC WRITTEN AGREEMENT EXPRESSLY PROVIDES A WARRANTY.

BHM DOES NOT GUARANTEE THAT:

EVERY WEBSITE WILL ALWAYS BE AVAILABLE;

EVERY SOFTWARE FEATURE WILL BE ERROR-FREE;

EVERY THIRD-PARTY SERVICE WILL REMAIN AVAILABLE;

EVERY AI OUTPUT WILL BE ACCURATE;

EVERY PROMOTIONAL CAMPAIGN WILL PRODUCE SALES;

EVERY NEWS ARTICLE WILL REMAIN UNCHANGED;

EVERY PRODUCT WILL REMAIN IN STOCK; OR

INTERNET-BASED SYSTEMS WILL BE IMMUNE FROM ALL CYBERSECURITY INCIDENTS.

Nothing in these Terms excludes a warranty or right that applicable law does not permit BHM to waive.


SECTOR FORTY-ONE

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BHM WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES ARISING FROM USE OF A GENERAL BHM SERVICE WHERE SUCH DAMAGES MAY LEGALLY BE LIMITED.

For claims arising from a specific paid BHM service, and except where prohibited by law or a specific written agreement states otherwise, BHM's aggregate contractual liability will not exceed the amount paid directly to BHM for the particular service giving rise to the claim during the twelve months preceding the event giving rise to liability.

This limitation does not exclude liabilities that cannot legally be limited, including where applicable liability arising from:

intentional fraud;

statutory rights that prohibit limitation; or

other legally nonwaivable obligations.


SECTOR FORTY-TWO

INDEMNIFICATION

To the maximum extent permitted by law, commercial users—including marketplace sellers, advertisers, business clients, affiliates and vendors—agree to defend and indemnify BHM from third-party claims caused by their:

unlawful products;

intellectual-property infringement;

fraudulent conduct;

false advertising;

tax violations;

materially false information;

unauthorized Content;

data they lacked authority to provide; or

material breach of applicable agreements.

This provision does not impose an unlawful indemnification requirement upon a consumer or employee.


SECTOR FORTY-THREE

DISPUTES AND GOVERNING LAW

These Terms are governed by the laws of the State of Kansas except where federal law or another jurisdiction's mandatory law controls.

Before filing ordinary commercial litigation, the parties are encouraged to send written notice explaining the dispute and engage in good-faith efforts to resolve it.

A thirty-day informal resolution period may be used where doing so does not:

cause expiration of a statute of limitations;

prevent emergency relief;

interfere with government complaints;

interfere with employment rights; or

impair another nonwaivable legal right.

Unless a separate contract expressly provides otherwise, these general Terms do not impose mandatory arbitration.

Any litigation must be brought in a court possessing proper subject-matter and personal jurisdiction.


SECTOR FORTY-FOUR

CHANGES TO THESE TERMS

BHM may modify these Terms prospectively as:

services change;

laws change;

new platforms launch;

business operations expand;

security requirements change; or

technology changes.

The revision date will identify the current version.

Where legally required, material changes will receive additional notice.

Changes will not be used to retroactively rewrite a completed transaction in a manner prohibited by law.


SECTOR FORTY-FIVE

SEVERABILITY AND GENERAL PROVISIONS

If a provision of these Terms is found invalid or unenforceable, the remaining provisions remain effective to the greatest extent legally permissible.

Failure to enforce a provision once does not permanently waive that provision.

Headings exist for convenience and organization.

Specific written agreements control over these Terms where they expressly govern the same subject.

BHM may assign applicable rights in connection with:

a merger;

corporate restructuring;

acquisition;

financing;

sale of business assets; or

lawful transfer of a covered operation.

Users may not transfer privileged Accounts or contracts where doing so materially changes BHM's rights or obligations without authorization.

Use of a BHM Service does not create ownership, employment, partnership, agency, management, fiduciary, legal-representation or other special relationship unless such a relationship actually exists under an applicable written agreement or law.

By using a covered BHM Service after being presented with these Terms, you agree to comply with the provisions applicable to your use of that Service.
